Terms of Service

These Terms of Service ("Terms") govern your access to and use of Ascend's website, application, and related services (collectively, the "Service") operated by Ascend ("Ascend," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

The Service

Ascend is a recruit activation platform for life insurance agencies. The Service helps managers track recruits through onboarding steps, collect proof of completion, monitor downline progress, and improve accountability from contract signing through first sale. Features may change over time; we may add, modify, or discontinue features with reasonable notice where practical.

Accounts

You must provide accurate registration information and keep your credentials secure. You are responsible for activity under your account. Managers are responsible for invites they send and data they enter about recruits. Notify us immediately at support@ascendrecruit.co if you suspect unauthorized access.

Acceptable use

You agree not to:

• Use the Service for unlawful purposes or in violation of applicable insurance or telecom regulations
• Upload malware, attempt unauthorized access, or interfere with Service operation
• Harass, abuse, or misrepresent identity to other users
• Scrape, resell, or reverse engineer the Service except where permitted by law
• Upload content you do not have rights to share

We may suspend or terminate accounts that violate these Terms or pose a security risk.

Subscriptions, cancellation, and refunds

Paid plans (Starter, Growth, Agency) are billed monthly through Stripe unless otherwise agreed in writing. Prices and plan limits are described on our website and may change with notice before your next renewal.

Cancellation: You may cancel at any time. Cancellation stops future charges; access continues through the end of the current paid period unless your account is terminated earlier for cause.

Refunds: Fees are generally non-refundable except where required by law or at our discretion for billing errors reported within 14 days of charge. Contact support@ascendrecruit.co for billing disputes.

Free trials, if offered, convert to paid subscriptions unless canceled before the trial ends. Trial terms will be shown at signup.

SMS messaging

If your organization enables SMS features, recruits and managers may receive text messages via Twilio for invites, check-ins, and alerts. You are responsible for obtaining any consent required under TCPA and applicable state laws before messaging phone numbers you provide to Ascend.

Message frequency varies. Message and data rates may apply. Recipients may opt out of non-essential messages where STOP is supported. Ascend is not responsible for carrier delays or delivery failures outside our reasonable control.

Your data and privacy

Our collection and use of personal information is described in our Privacy Policy. You retain ownership of content you upload. You grant Ascend a license to host, process, and display that content solely to provide the Service to you and your authorized users.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ASCEND DOES NOT PROVIDE LEGAL, INSURANCE LICENSING, OR FINANCIAL ADVICE. YOU ARE RESPONSIBLE FOR COMPLIANCE WITH STATE LICENSING AND CARRIER REQUIREMENTS.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASCEND AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO ASCEND IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification and termination

You agree to indemnify Ascend against claims arising from your misuse of the Service, violation of these Terms, or violation of third-party rights. We may terminate or suspend your access at any time for breach of these Terms or non-payment. Upon termination, your right to use the Service ends; provisions that by nature should survive will survive.

Governing law and changes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles, except where mandatory consumer protections in your jurisdiction apply.

We may update these Terms from time to time. Continued use after the effective date of updated Terms constitutes acceptance. Material changes will be reflected in the "Last updated" date above.
